1. Acceptance of Terms & Commercial Relationship

These Terms of Service ("Terms") constitute a legally binding commercial agreement between Socio Engineer Pvt. Ltd. ("Company", "we", "us", or "our"), an Indian private limited company incorporated under the Companies Act, 2013, and the subscriber, business entity, manufacturing plant, or individual ("Customer", "Subscriber", "User", or "you") accessing or utilizing the Vistaar360 ecosystem.

The Vistaar360 ecosystem encompasses all proprietary platforms and services, including:

  • Vistaar360 Manufacturing OS / Cloud (SaaS plant operating system)
  • SourceX by Vistaar360 (Precision B2B Sourcing and Supplier Discovery)
  • BizMeet by Vistaar360 (Industrial trade meets, delegations, and physical/virtual expos)
  • MSME Utility Tools (Online document generators)
  • Vistaar360 Executive Learning (3-Hour Masterclass & 1-Day Manufacturing AI Bootcamp)

By creating an account, claiming a plant profile, signing an order form, registering for training, or browsing our platforms, you agree to be bound by these Terms. If you are accepting on behalf of a company, partnership, or industrial plant, you represent that you possess lawful authority to bind said entity.

2. Platform Licensing & Permitted Use

  1. SaaS Subscription Grant: Subject to timely payment of applicable subscription fees and continuous compliance with these Terms, Socio Engineer Pvt. Ltd. grants you a non-exclusive, non-transferable, revocable license to access and use the Vistaar360 cloud modules selected in your commercial subscription plan.
  2. Authorized Users: Access is granted on a named-seat or designated-plant basis as defined in your plan tier. You are responsible for ensuring that user credentials remain confidential and are not shared across non-authorized operators or third parties.
  3. Free Utility Tools: Our browser-based utilities (Quotation, Invoice, RFQ, PO, NDA, DC, GRN, MTC generators) are provided free of charge for legitimate business document preparation by MSMEs. Bulk automated scraping, reverse-engineering of tool algorithms, or iframe embedding on unauthorized third-party commercial websites without written consent is strictly prohibited.

3. Plant Profile Verification & Supplier Directory

  1. Accuracy of Information: When registering or claiming a manufacturing plant profile on the Vistaar360 Directory, you warrant that all information—including machine make/model, tonnage, bed sizes, ISO certifications, and factory addresses—is truthful and accurate.
  2. Right to Suspend or Unclaim: Socio Engineer Pvt. Ltd. reserves the right to audit, flag, or suspend directory listings found to contain fictitious credentials, counterfeit quality certifications, or deceptive supplier claims.
  3. No Direct Endorsement: While Vistaar360 verifies GSTIN, Udyam registration, and plant machinery claims through algorithmic and document checks, the formal award of contracts and physical quality inspection remains the commercial responsibility of the transacting buyer and supplier.

4. Executive Learning & Training Terms

  1. Program Scopes:
    • 3-Hour AI Growth Masterclass: Live interactive online sprint focused on industrial prompts, content multiplication, and WhatsApp RFQ qualification.
    • 1-Day Manufacturing AI Bootcamp: Intensive execution workshop delivered online for individual plant leaders or offline/on-premise for industrial associations, chambers, and corporate plants.
  2. Intellectual Property in Training Materials: All slide decks, industrial prompt libraries, automation recipes, workflow scripts, and session recordings provided during training are the copyrighted property of Socio Engineer Pvt. Ltd. They are licensed strictly for the internal operational use of the registered participant’s factory. Unauthorized redistribution, resale, or public publication of proprietary prompt templates is actionable under Indian copyright law.
  3. Reschedule & Credit Policy: Training seats are confirmed upon registration. In the event of unforeseen factory operational emergencies, participants may request transfer to an upcoming cohort by providing written notice to team.vistaar360@gmail.com at least 24 hours prior to scheduled session commencement.

5. Intellectual Property & CAD Drawing Confidentiality

  1. Client Ownership: The Customer retains absolute and unencumbered ownership of all CAD blueprints, 2D drawings, BoMs, technical specifications, and proprietary pricing data uploaded to Vistaar360 or SourceX.
  2. Zero Third-Party Training: Socio Engineer Pvt. Ltd. will never train open, third-party, or public AI models on your proprietary drawings, CAD files, or quotation formulas.
  3. Platform IP: Socio Engineer Pvt. Ltd. retains all right, title, and interest in and to the Vistaar360 software, database architectures, user interfaces, proprietary AI agent algorithms, and branding assets.

6. Billing, Fees & Payment Terms

  1. Subscription Fees: SaaS subscription fees are billed in advance on a monthly or annual cadence as indicated at checkout or specified in your custom enterprise service proposal.
  2. Taxes: All commercial fees are subject to statutory Indian Goods and Services Tax (GST) at the prevailing rate (currently 18%). GST invoices bearing your company GSTIN are issued immediately upon successful transaction completion.
  3. Late Payments: Unpaid invoices past 15 days from due date may result in temporary suspension of workspace access until accounts are settled.

7. Limitation of Liability & Disclaimers

  1. AI-Assisted Estimation Disclaimer: Vistaar360 AI modules (e.g. cycle-time estimation, automated quotation drafting, and tender summarization) provide computational aids designed to accelerate engineering review. The final technical verification of drawings, toolpaths, alloy compatibility, and quotation figures remains the responsibility of your plant’s qualified engineering personnel prior to contract issuance.
  2. Liability Cap: To the maximum extent permitted by applicable Indian law, the total cumulative liability of Socio Engineer Pvt. Ltd. arising out of or related to these Terms, whether in contract, tort, or otherwise, shall not exceed the total fees paid by Customer to Company in the preceding twelve (12) months.
  3. Consequential Damages Waiver: Neither party shall be liable for any indirect, incidental, punitive, or consequential damages, including loss of profits, factory downtime, or lost commercial orders.

8. Governing Law & Dispute Resolution

These Terms shall be governed by, interpreted, and construed in accordance with the laws of the Republic of India.

Any dispute, controversy, or claim arising out of or relating to this contract, including its formation or breach, shall first be subjected to good-faith mutual consultation between executive representatives of both parties for a period of thirty (30) days. If unresolved, the dispute shall be submitted to the exclusive jurisdiction of the competent courts of Pune, Maharashtra, India.
